These Terms of Service (“Terms”) form a binding agreement between you (“you”, “your”, or “Subscriber”) and Cortexis Group, LLC, a Florida limited liability company doing business as BidWritePro (“Cortexis”, “we”, “us”), governing your access to and use of the BidWritePro service (the “Service”).
By creating an account, signing in, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
These Terms become effective when you first access the Service and continue until you stop using the Service or we terminate your account.
We may update these Terms from time to time. The Effective Date at the top of this page reflects when the current version took effect. For material changes (changes that meaningfully reduce your rights or expand your obligations), we will notify active subscribers by email and post a notice on the Service at least 30 days before the change takes effect. Your continued use of the Service after the new Terms take effect constitutes acceptance. If you do not agree to the new Terms, you may cancel your subscription before they take effect.
BidWritePro provides cloud-hosted software-as-a-service tools for federal contractors, including:
Specific features available to you depend on your subscription tier. Features marked “Beta” or “Coming Soon” are provided on an as-is basis and may change, be removed, or behave inconsistently.
You are responsible for:
You may not share your account credentials with others. Each subscription is for a single user (per seat). If you need additional seats, contact us about multi-seat plans.
You must be at least 18 years old and have the authority to bind your business to these Terms. If you are signing up on behalf of an organization, you represent that you have authority to do so.
BidWritePro offers multiple subscription tiers (currently Solo, Small Business, Growth, and Enterprise). Pricing for each tier is shown on the Pricing page at the time of subscription. Prices are in U.S. dollars. We may change pricing for new or renewing subscriptions on 30 days’ notice; price changes do not affect your current paid period.
New subscribers may start with a free trial period (currently 14 days), beginning when you create your account. The trial includes the features of the tier you select. We do not require a payment method to start the trial. When the trial ends, your account moves to a free tier with limited access. It does not convert to a paid subscription automatically, and you are not charged. To continue on a paid plan, choose a plan and add a payment method in Billing & Plans.
Paid subscriptions renew automatically each billing period (monthly or annual, as you select) until canceled. By providing a payment method, you authorize Cortexis Group, LLC to charge that payment method for each renewal until you cancel.
You may cancel your subscription at any time from the Billing page in the Service or by emailing [email protected]. Cancellation takes effect at the end of your current paid period. You retain access to the Service through the end of that period.
Within thirty (30) days of your first paid charge (excluding any free trial), if you do not see at least one qualifying SAM.gov opportunity matching the NAICS codes in your company profile, you may request a full refund of that first charge by emailing [email protected] with the subject line “Refund Request”. Refunds will be processed to the original payment method within 14 business days. This guarantee applies only to a Subscriber’s first paid charge, only once per account, and does not apply to renewal charges, additional seats, add-on modules, or charges incurred after a refund has been issued. We reserve the right to deny refund requests that we determine in good faith to be made in bad faith or that violate other Terms.
You are responsible for any sales, use, value-added, or similar taxes applicable to your subscription. Pricing shown does not include such taxes unless explicitly stated.

The Service uses artificial intelligence (currently Anthropic’s Claude models) to parse documents, extract requirements, score opportunities, and generate proposal drafts (collectively, “AI Output”).
AI Output is provided as a starting draft to assist your work. It is not a final, ready-to-submit deliverable. AI Output may contain factual errors, fabricated citations, omitted requirements, misinterpretations of solicitation language, incorrect calculations, outdated regulatory references, or content that does not comply with FAR, DFARS, agency-specific supplements, set-aside rules, or other applicable federal contracting requirements.
Before submitting any AI Output to a federal agency, prime contractor, teammate, customer, or other third party, you are solely responsible for:
BidWritePro and Cortexis Group, LLC are not law firms, are not engaged in the practice of law, are not contracting officers, are not your government compliance advisor, and do not provide legal advice. AI Output, compliance matrices, bid/no-bid scores, and risk analyses are productivity aids, not legal opinions. For legal questions, including questions about FAR/DFARS interpretation, set-aside eligibility, organizational conflicts of interest, ITAR/EAR export controls, mergers and acquisitions, or contractual disputes, consult qualified counsel.
CORTEXIS GROUP, LLC EXPRESSLY DISCLAIMS ALL WARRANTIES — EXPRESS, IMPLIED, OR STATUTORY — REGARDING AI OUTPUT, INCLUDING ANY WARRANTY OF ACCURACY, COMPLETENESS, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE (INCLUDING FITNESS FOR FEDERAL CONTRACTING USE).
To the maximum extent permitted by law, Cortexis Group, LLC shall have no liability for any consequence arising from your use of AI Output, including but not limited to:
You retain all rights, title, and interest in the documents, profile information, and other materials you upload or input into the Service (“Your Content”). You grant Cortexis Group, LLC a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display Your Content solely as necessary to provide the Service to you, including transmitting Your Content to our AI vendor for processing.
As between you and Cortexis Group, LLC, you own the AI Output produced from Your Content. We do not assert ownership over your generated proposal drafts, compliance matrices, or other AI Output specific to your account. You acknowledge that the same or substantially similar AI Output may be produced for other Subscribers using similar inputs.
The Service itself — including all software, source code, design, logos, trademarks, the BidWritePro name, prompt engineering, scoring algorithms, document classification logic, and accumulated know-how — is owned by Cortexis Group, LLC and is protected by U.S. and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your active subscription, subject to these Terms. No other rights are granted by implication.
If you provide suggestions, feedback, or feature requests (“Feedback”), you grant us a perpetual, irrevocable, royalty-free, worldwide license to use the Feedback for any purpose without obligation to you.
Federal opportunity data displayed in the Service is sourced from SAM.gov, the official U.S. Government opportunity feed maintained by the General Services Administration. Cortexis Group, LLC is not affiliated with, endorsed by, or sponsored by the U.S. Government, GSA, or any federal agency. SAM.gov data is subject to the terms of use posted at sam.gov; we redistribute it solely as part of providing the Service.
We make no representation that the SAM.gov feed is current, complete, or error-free. Always verify critical information (deadlines, addresses, point-of-contact details) directly from the official solicitation on SAM.gov before submitting a proposal.
You may terminate your account at any time by canceling your subscription and deleting your account through the Service or by emailing us. We may suspend or terminate your account, with or without notice, if:
Upon termination: your access ends; we will delete or anonymize your data subject to the retention schedule in our Privacy Policy; sections 6, 7, 10, 11, 12, 13, 14, and 15 of these Terms survive termination.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. CORTEXIS GROUP, LLC DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, secure against all attacks, or free of viruses or other harmful components. We do not warrant that any AI Output, scoring, or analysis will be accurate, complete, or suitable for your specific purpose.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORTEXIS GROUP, LLC AND ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST CONTRACTS, LOST AWARDS, LOST BUSINESS, LOSS OF DATA, LOSS OF GOODWILL, OR COST OF SUBSTITUTE SERVICES) ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, REGARDLESS OF THE FORM OF ACTION OR THEORY OF LIABILITY, SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO CORTEXIS GROUP, LLC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless Cortexis Group, LLC and its officers, directors, members, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorney fees) arising out of or related to:
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute arising out of or relating to these Terms or the Service that cannot be resolved through good-faith negotiation will be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida. You and Cortexis Group, LLC each consent to the personal jurisdiction and venue of such courts and waive any objection based on inconvenient forum.
You agree that any claim arising out of or related to these Terms or the Service must be brought within one (1) year after the cause of action accrues; otherwise, the claim is permanently barred.
You and Cortexis Group, LLC each agree that any dispute will be brought in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative action. The arbitrator or court may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding.
These Terms, together with our Privacy Policy and any subscription order or addendum, constitute the entire agreement between you and Cortexis Group, LLC regarding the Service and supersede all prior agreements.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
Our failure to enforce any provision of these Terms is not a waiver of our right to enforce that provision later.
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, government actions, internet outages, third-party service disruptions, and acts of war or terrorism.
